From this law firm we advise trading companies (essentially, SA and SRL) in the fulfilment of their corporate obligations, including, among other actions, the preparation of all types of corporate resolutions - General Meeting, sole shareholder decisions, Board of Directors and Directors' decisions -, the preparation and filing of the annual accounts of the company in the Commercial Register, the notarization, filing with the Commercial Registry and regular monitoring until full registration of the various public deeds required (deeds of granting and revocation of powers of attorney, termination and appointment of directors, declaration of sole ownership, change of registered office, deeds of declaration of beneficial ownership, etc.), the custody and filing of the company documentation provided by the client and on behalf of the same, and the annual telematic legalization of the company books (minute books and shareholders'/members' books).

Thus, since its inception, it has been advising various national and foreign banking institutions in the development of their daily activities: drafting and review of credit and loan agreements, guarantees, powers of attorney, powers of attorney, banking dynamics, implementation of new legislation affecting their daily operations, etc.

Likewise, our firm has long been very active in the field of Collective Investment Institutions and Investment Services Companies (ESIS). The firm's experience in commercial disputes of a corporate nature, such as challenging and defending corporate resolutions, disputes over the distribution of dividends, directors' duties of loyalty, corporate liability actions, abuse of rights in corporate decision-making, disputes relating to the fulfilment of shareholders' agreements, etc., is particularly noteworthy.

Our firm advises its clients, both individuals and companies, on the drafting, review and negotiation of all types of civil contracts, including urban and rural lease contracts, sale and purchase of movable property, debt acknowledgement, etc. We also provide advice on the acquisition and sale of real estate, on matters relating to homeowners' associations and condominiums, and on contractual and non-contractual civil liability claims, among others.

We provide comprehensive advice and management of inheritance processes, including the preparation of inventories, the declaration of heirs (notarial and judicial), the waiver or acceptance of the inheritance, the liquidation of the marital partnership, the drafting of the partitional notebook and the execution of the deed of partition and adjudication of the inheritance. We also assist in carrying out the necessary formalities for the registration in the relevant registers of the changes of ownership resulting from the inheritance process.

Closely linked to corporate advice, the Firm also intervenes in labour matters; participating closely with the client in the drafting of contracts, acting before the Labour Courts in the different labour claims that may arise, proceedings related to the application of collective agreements and/or advice in employment regulation proceedings or general consultations.
